Having
reviewed the statement below, we understand that we are required to sign it for
the clarification of our relationship with you and for the protection of the
business and the seller.
We
acknowledge and affirm that we approached Barrier Reef Business Brokers (BRBB)
and that BRBB have informed us of the requirement for confidentiality
concerning the possible purchase of the business/property.
We
declare to you that in principal, we have a genuine interest in the
business/property listed below and further declare to you that we are ready
willing and able to carry out the terms of any contract we may enter into in
regard to the proposal. Having proclaimed the same, we now request that, in
your capacity as broker and adviser to the Vendor, you supply us with a copy of
any information describing the Vendors business.
We
undertake that all dealings concerning the aforementioned businesses and/or
properties will be handled through BRBB, and that all information provided will
be held strictly in confidence, and that such information will be divulged only
on a confidential basis to those parties (lawyer, accountant, bank manager,
family member) who are directly involved in the buy/sell transaction.
The
undersigned acknowledges that extreme confidentiality may be required
and that any breach of such confidentiality can result in legal action.
When visiting the premises of a
business covered by this agreement, the undersigned agrees to conceal any and
all marketing materials provided by BRBB or by the seller and will not openly
discuss the business availability in the presence, or within earshot, of any
customers, clients or employees, without the express permission of the agent/seller.
The
undersigned acknowledges that BRBB has a listing agreement, or is working in
conjunction with another broker/agent who has such an agreement.
In
the event that the undersigned declines to pursue acquisition of the
aforementioned businesses or properties, then he/she shall promptly return all
information to BRBB.
Although
we understand that BRBB believe that the material provided is accurate, we
acknowledge that no representation or warranty has been made as to the accuracy
or completeness of the material. We agree that BRBB has no liability to us or
to any of our representatives arising from the selection or use of the material
by our associates or us.
